The parties to this agreement (the "Agreement") are you ("you") and Goodfood Market Corp. ("Goodfood", "us", "we", "our" or the "Company") regarding the terms of ordering and receiving grocery items, including ready-to-eat meals, and meal kits (which include ingredients and recipes), through weekly or monthly subscription plans (the "Products" or the "Meal Delivery Service," as appropriate). provided to you through the use of the website "makegoodfood" (The "Website" and collectively with the Products, the Meal Delivery Service, the "Service" or "Services"), any subdomain, and any other platform (including any mobile applications) in relation thereto. In accordance with your weekly subscription plan or your preferred selection, the Service will give you access to: (1) meal kits that contain ingredients and instructions to make a variety of recipes; (2) ready-to-eat meals that you may have chosen. (3) Grocery items you may have chosen, your choice of which may change from week to week (and which can be ordered with or without a monthly subscription plan). Before using the Service, carefully read the following terms and conditions. You accept all of the terms and conditions stated in the Agreement by using the Service, accessing the Website, or clicking "I Agree" when creating your Goodfood Account (as defined below). If you do not agree with the terms of the Agreement at any time, you must stop using the Service by canceling your subscription (or changing your ordering strategy or preference) as per the instructions provided here. Additionally, you consent to receiving: (1) advertisements for the Services; and (2) SMS updates on the delivery of your orders.

Residents of Québec are referred to as "Residents of Québec" when they sign a contract that is covered by the Consumer Protection Act (Québec).

Using the Services and Being Eligible to Place an Order


Anyone under the age of 18 is not the target audience for the Services or is intended to use them. By using the Services, you affirm and guarantee that you are at least 18 years old, have never had your account suspended or removed, and have not engaged in any behavior that could get you banned from the Services. (d) have full power and authority to enter into the Agreement and will not violate any other agreement to which you are a party. Sale Conditions and Subscription Plans


Weekly subscription plans ("Weekly Subscription Plan") are available for the Services, which include meal delivery services. Below is a list of the various options that are available. You can choose from a variety of Products and Services to create a grocery basket. As a result, different fees will be charged as detailed in the table in the section below on pricing and fees.

Delivery of meals

In the Weekly Subscription Plan selection You consent to having the following charges made to your credit card by Goodfood (or a third-party payment processor it has authorized): (1) a minimum weekly fee (based on the meals you selected when you opened your Goodfood account); and (2), if applicable, a frozen fee (as shown in the table below). (3) a Small Order Fee if you choose to spend less than $50 in a single week, and/or (4) an additional Product or Meal Delivery Service that may be added to your order. You also concur that we have permission to charge your credit card up to the point at which you cancel your subscription. If you want to "skip" a week or end your subscription, you must inform us by no later than:
  • If your delivery is scheduled for Monday, Tuesday, Wednesday, or Sunday of the following week, on Wednesday before midnight;
  • If your delivery is scheduled for Monday, Tuesday, Wednesday, or Sunday of the following week, you must order by Saturday at Midnight.

If not, you will still receive meal delivery service as planned, and your credit card will be charged accordingly. You understand and agree that if you change your basket selection, take advantage of a promotion, special offer, apply credits, or there are other price changes, the amount you will be charged each week may change. depending on your choice, any applicable taxes or other fees

Please be aware that any upcoming weeks you have previously skipped will be automatically rescheduled if you change the type of your Weekly Subscription Plan.

You also acknowledge that $4 in frozen fees could be imposed on you. 99 for ordered frozen goods (if the total cost of the frozen goods is less than $30 per order) If you spend more than $30 per order on frozen goods, this fee is automatically waived. Additionally, you agree that a small order fee might be applied. 99 if the purchases you make during any given week add up to $49 less than 99 before any applicable taxes If the basket's overall value is $50 or more before taxes, this fee is automatically waived.

Price and Fees

Every cost displayed is in Canadian dollars. Prices do not include any taxes (including sales taxes, other consumption taxes, and other taxes on goods and services levied by the federal and provincial governments). Based on your Plan and your province of residence, sales taxes, where applicable, will be added to the total cost of your order for the Products you have purchased and/or applicable Delivery or Frozen Fees. The checkout page of your order will detail the total amount charged to you, including all taxes. Depending on your province of residence and the rate in effect at the time you place your order, the total cost of your order may, at checkout, include GST/HST. We accept no responsibility for completing any transaction that our payment processor cannot clear, including but not limited to when your credit card's credit limit is insufficient. If such a circumstance arises, you will be informed, and the transaction will be rejected and canceled. Additionally, we have the right to terminate your Goodfood Account and/or ask you for a different valid credit card. Any suspension does not exempt you from paying any fees that are owed to us. For more information on the costs and applicable taxes for each order, please check your Goodfood Account and the details provided in your order at the final checkout page. You acknowledge that you are obligated to abide by the terms and conditions of the Plan you have chosen, including all associated costs. The table below provides specific information on fees for each available Plan:

Return Procedure

Please email us at chef@makegoodfood if you are unhappy with any product or ingredient you received in your kits. the five (5) days following the receipt of your order. We will credit your Goodfood account with the equivalent value of the Products whose quality you are dissatisfied (as defined below). Unless otherwise agreed upon with Goodfood, we may require you to (i) return the item you are dissatisfied with at your expense; (ii) keep the item; and/or (iii) provide photographic proof of the item you are dissatisfied with. You are in charge of checking items for damage or other issues after delivery, including but not limited to the freshness of the Products you receive. Deliveries of ingredients should be made in a chilled, refrigerated environment at or below 4°C. Although unlikely, please contact us right away at chef@makegoodfood if you have any reason to think that a Product in your delivery is unfit for consumption. ca

Delivery

Right now, we don't deliver goods or offer meal delivery services to every part of Canada. By registering, you can learn if we deliver to your area, and you'll be informed when orders begin arriving at the address you provided. All products purchased from Goodfood are made in accordance with a shipping contract, which provides that title to and risk of loss of the products pass to you upon delivery of the products to you. Goodfood typically uses third-party services for shipping. You are solely responsible for the proper and safe washing, handling, preparation, storage, cooking, use, and consumption of the Products after delivery. You are also responsible for the condition and consumption of the Products at your own risk. In addition, Goodfood shall not be liable for any delay or loss of any kind that occurs while a shipment is in the custody or control of a third party. Goodfood is not responsible or liable for any action(s) or inaction(s) of such third parties and/or its agents. Actual delivery times may differ from estimated times due to weather and other circumstances, some of which may be beyond our control ("Force Majeure"). We will make an effort to deliver your products the following day if circumstances beyond our control prevent us from doing so on the day of your scheduled delivery. If, despite our best efforts, we are still unable to deliver your Products on the day that follows the day of your initial scheduled delivery, we will give you a credit for the cost of that order. Despite the above, if you are the reason we are unable to complete the delivery at your confirmed address on the designated day, you are still liable for the full amount of your order. When the third-party courier service arrives and releases custody of the Products in accordance with the delivery instructions you've specified in your Goodfood Account, we consider the Products delivered. Any person present at the address specified in the delivery instructions will be assumed to be authorized to accept the delivery on your behalf. We will leave the package unattended at the address you have specified if no one is available at the address specified in the delivery instructions. You are in charge of making sure that the delivery instructions you give to us are thorough. When products are delivered to you, it is your responsibility to check them for any damage or other problems. You are in charge of judging whether the Products you receive are fresh. The internal temperature of any meat, poultry, fish, seafood, or other perishable ingredients should be checked using a thermometer to ensure that they are kept cool and refrigerated below 4°C. Please notify us if the Products are not fresh when delivered to you; we will handle the situation in accordance with our return policy. For up to 24 hours after delivery, insulated liners and iced gel packs are included in boxes if your order is being delivered that way. However, as soon as the courier releases custody of the Products in accordance with the instructions in your Goodfood Account, you are in charge of the Products. After the Products are delivered, regardless of what happens (including time passing), you are accountable for any Product degradation. Please plan deliveries and storage taking into account the time of year and local temperatures in your area. As soon as the courier delivers the goods to the address listed on your order, you are in charge of them. Please ensure that someone is available to receive deliveries and to properly store the Product after delivery. You are responsible for following the refrigeration, food safety, safe food handling, and food consumption recommendations from the Ministry of Agriculture, Fisheries and Food of Québec (MAPAQ) (or the Ministry of Agriculture in Ontario) upon receipt and after inspection of any delivered Products. You must immediately refrigerate all perishable items. Iii. Please be aware that Goodfood does not deliver on Christmas, Boxing Day, or New Years Day. Any orders that, based on the aforementioned delivery schedule, fall on one of those days will be delayed until the following day.

Special Deals


In connection with their use or potential use of the Services or the purchase of Products, we may on occasion make a promotional offer to either new or existing customers (each a "Special Offer"). The terms of a Special Offer must be included in or sent along with it in order to be governed. When a Goodfood Account is opened or a subscription is renewed, a Special Offer occasionally includes a promotion for a free meal (or meals) (a "Free Meal Special Offer"). In the event that you take advantage of a free meal special offer and it expires, You understand and accept that for the duration of your Weekly Subscription Plan, we (or our third-party payment processor) will start automatically charging your chosen payment method for your Weekly Subscription Plan (plus any applicable taxes). If you don't cancel your Weekly Subscription Plan before the Free Meal Special Offer expires, Here are the instructions for terminating your Weekly Subscription Plan. Please be aware that it's possible that you won't get a notification from us when your Free Meal Special Offer expires or when the fully paid portion of your Weekly Subscription Plan starts.

Invoice Credits


Due to specific circumstances, we might give you promotional credits (the "Credits") that will automatically be applied to subsequent purchases made through your Goodfood Account or in another manner to your Subscription, as appropriate. Credits are promotional in nature, non-transferable, and only redeemable in accordance with our instructions. They cannot be redeemed for money or other items. Credits are only kept in circulation if you keep your Goodfood Account open. Your Credits will also be cancelled if you cancel your Goodfood Account. Only after Credits have been applied to your Goodfood Account are they redeemable. Any decision we make regarding a dispute relating to your Credit balance is final, with the exception of residents of Quebec.

Gift cards and prepaid cards (referred to collectively as "Prepaid Cards")


Only at www.makegoodfood.ca can you purchase Prepaid Cards to be used to pay for any of the Products or Services.

To check the balance on your Prepaid Card, you can reach Member Happiness at any time by sending an email to [email protected].

You are not entitled to interest on the Prepaid Card balances. Prepaid Cards cannot be loaded again. If your Prepaid Card is lost or stolen, we are not liable. Even if you misplace your Prepaid Card, it cannot be refunded or cancelled. Prepaid Cards will be sent to you via email unless otherwise stated.

Termination

You can contact our Member Happiness team via live chat, email (chef@makegoodfood), or phone at any time to cancel your Goodfood Account or any of your subscription plans (weekly or monthly). (Saturday and Sunday from 9:00 AM to 8:00 PM EST, or 8:00 AM to 11:45 PM EST, Monday through Friday) Additionally, the Company retains the right to halt or terminate the Service if you violate the Agreement or for any other seriously considered grounds.

Limitation of Liability and Disclaimer of Warranties

Except for Quebec residents, the company's warranties and remedies (if any) are exclusive and replace all other warranties, whether express or implied, whether in fact or by operation of law, statute, custom, or otherwise. IMPLIED WARRANTIES OF MERCHANTABILITY, AVAILABILITY, PERFORMANCE, COMPATIBILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, CORRESPONDENCE WITH DESCRIPTION, AND NON-INFRINGEMENT ARE EXPRESSLY DISCLAIMED. APART FROM QUÉBEC RESIDENTS, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COMPANY AND ITS SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INCIDENTAL, INDIRECT, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES OF ANY KIND, WHETHER BASED IN CONTRACT, DELICT OR TORT (INCLUDING NEGLIG Or FOR LOSS OF REVENUE OR PROFITS, LOSS OF BUSINESS OR GOODWILL, LOSS OR CORRUPTION OF INFORMATION OR DATA, UNAUTHORIZED ACCESS TO, OR DISCLOSURE OF INFORMATION OR DATA, OR OTHER FINANCIAL LOSS ARISING OUT OF OR IN CONNECTION WITH THE USE, PERFORMANCE, FAILURE, OR INTERRUPTION OF THE SERVICE, WHETHER FORESEEABLE OR Furthermore, even if the company had been informed of the possibility of such damages. THE COMPANY'S TOTAL CUMULATIVE LIABILITY TO YOU UNDER THE AGREEMENT SHALL NOT EXCEED $100 IN THE EVENT THAT COMPANY IS FOUND RESPONSIBLE TO PAY YOU ANY DAMAGES. If any remedy provided herein is found to have failed of its essential purpose, the aforementioned limitations of liability will not be affected.

Indemnification

You acknowledge that it is your responsibility to defend, hold harmless, and indemnify Goodfood, its officers, directors, affiliates, workers, and agents from and against any liabilities, claims, damages, losses, and expenses, including but not limited to reasonable legal and accounting fees. resulting from or connected in any way to your use of the Service, your access to it, or the Goodfood Account thereto.

Amendments

By sending you a notice 30 days before the amendments take effect, Goodfood may change the Agreement or any section of the Agreement, in whole or in part. Each of these notices will: (i) specify whether the amendment entails an increase in your obligations or a decrease in Goodfood's obligations; (ii) specify the date the amendment comes into force; and (iii) specify whether the amendment sets forth only the new section or an amended section along with the section as it previously read. give you the option to reject any amendment and end the Agreement without costs or penalties by sending Goodfood a notice to that effect no later than 30 days after the amendment takes effect. When the amendment is communicated to you, click "I Do Not Agree" to send such a notice. If you reject an amendment, the Agreement will end, your Goodfood account will automatically be deactivated, all of your Credits will expire, and you won't be able to access the Service.

General Instructions

The laws of the Province of Québec, Canada, and the laws of Canada that are applicable therein govern and are used to interpret the Agreement. The parties hereby irrevocably submit to the jurisdiction of the courts located in the Montreal district of the province of Québec. The Agreement replaces and supersedes all prior agreements between Goodfood and you with respect to the Service as the only and final agreement between Goodfood and you regarding the Service. Except that the terms of any Special Offer we may make to you may supplement the Agreement. Without our prior written consent, which we reserve the right to deny at our sole discretion, you may not assign or otherwise transfer the Agreement or any of your rights or obligations hereunder to any third party. You cannot be relieved or released from any of your obligations under the Agreement by means of an assignment or delegation by you. The Agreement shall be binding upon, benefit each of the Parties and their respective successors and assigns, and be enforceable by them, subject to the foregoing. Goodfood is free to transfer the Agreement to any third party without your permission. Nothing in the Agreement will result in you and the Company forming a partnership or joint venture. If a court of competent jurisdiction finds a particular provision of the Agreement to be invalid, the provision will be deemed severed from the Agreement and will not affect the validity of the Agreement as a whole. The Agreement shall be drawn up in English, and any amendments thereto shall be in English, as expressly requested by the Parties.
