Important

  • You are required to provide information under the NFP Act. Please note that both the NFP Act and the Privacy Act permit the disclosure of this information to the public. It will be stored in personal data repository with the identifier IC/PPU-049.
  • Form 4017 – Articles of Termination cannot be filed simultaneously with Form 4019 - Statement of Intent to Terminate.
  • An application for a Certificate of Termination does not require a filing fee.
  • Point 1: Corporate title

    Provide the name of the corporation. If you wish to verify the exact name of the organization, you can locate it using the Corporations Canada online database.

    Point 2: Corporation number

    Specify the corporation number. You will find the corporation number on the certificate of incorporation, amalgamation, or continuance. It is also accessible through the Corporations Canada online database.

    Point 3: Status of the corporation

    A bankrupt or insolvent corporation may only apply for termination three years after the trustee in bankruptcy or receiver has been discharged.

    To proceed with termination, you must confirm either:

  • the corporation is not bankrupt or insolvent; or
  • if the corporation is bankrupt or insolvent, at least three years have passed since the trustee in bankruptcy or receiver has been discharged.
  • There are four scenarios in which a corporation may terminate:

  • the corporation has not commenced any activities, issued memberships, or acquired property or liabilities (subsection 220(1))
  • the corporation has issued memberships, but has never possessed any property or liabilities (subsection 220(2))
  • the corporation has issued memberships, acquired property and liabilities, and completed their disposal and discharge (subsection 220(3))
  • the corporation has issued memberships and still has property and/or liabilities to address (section 221).
  • Please indicate which of these four scenarios applies to your corporation. Only one option may be chosen.

    Important

    In order to apply for termination under 4D – section 221 – the corporation must have requested and obtained a Certificate of Intent to Terminate from Corporations Canada. For more information on applying for a Certificate of Intent to Terminate, please refer to the instructions for Form 4019: Statement of Intent to Terminate.

    Point 5: Custody of corporate documents and records

    All terminating corporations must designate an individual who will be responsible for maintaining custody of the corporate records for six years after the termination date. If there are any changes to the person or their contact information within the six-year period following the termination, Corporations Canada must be notified in writing.

    Point 6: Declaration

    This form must be signed by either a director or an authorized officer of the corporation. Please print the name and indicate the telephone number of the signatory.
